{"id":2881,"date":"2023-10-13T15:47:28","date_gmt":"2023-10-13T19:47:28","guid":{"rendered":"https:\/\/www.viewworld.org\/?p=2881"},"modified":"2023-10-13T15:47:30","modified_gmt":"2023-10-13T19:47:30","slug":"microsoft-closes-deal-to-buy-call-of-duty-maker-activision-blizzard-after-antitrust-fights","status":"publish","type":"post","link":"https:\/\/www.viewworld.org\/?p=2881","title":{"rendered":"Microsoft closes deal to buy Call of Duty maker Activision Blizzard after antitrust fights"},"content":{"rendered":"\n<p>Microsoft completed its purchase of video game-maker Activision Blizzard for $69 billion on Friday, closing one of the most expensive tech acquisitions in history that could have repercussions across the video game industry.<\/p>\n\n\n\n<p>The notice that the deal has gone through came seven hours after Microsoft got final approval from Britain\u2019s competition watchdog, which reversed its earlier decision to&nbsp;<a href=\"https:\/\/apnews.com\/article\/microsoft-activision-blizzard-merger-video-games-7037b3fdc3186872bf7b24aa3caeb932\" target=\"_blank\" rel=\"noreferrer noopener\">block the merger<\/a>, removing the last obstacle for the transaction.<\/p>\n\n\n\n<p>Taking over the studios behind blockbuster games like Call of Duty, Diablo and Overwatch will be a boost for Microsoft\u2019s Xbox gaming console, which ranks third in sales behind Sony\u2019s PlayStation and Nintendo. The software giant also has bigger ambitions to fold Activision titles into its multi-game subscription service that works something like a Netflix for video games.<\/p>\n\n\n\n<p>The nearly 22 months it took to close the deal reflected concerns from rivals and government regulators that Microsoft could use its growing collection of games to stifle competition. It\u2019s part of a broader industry consolidation that also has\u00a0<a rel=\"noreferrer noopener\" href=\"https:\/\/apnews.com\/article\/2022-game-awards-indie-neon-white-stray-1c66c4338c1b36868f293d832e4e6fa4\" target=\"_blank\">some independent game developers<\/a>\u00a0worried they\u2019ll get sidelined as the industry allocates its resources toward blockbuster franchises with a history of past success.<\/p>\n\n\n\n<p>It still faces opposition from the U.S. Federal Trade Commission, which has argued that Microsoft could use the consolidation of a major game publisher to create \u201cwalled gardens\u201d around its Xbox Game Pass subscription service and the emerging business of streaming games on demand. But after losing a court fight to pause the merger, FTC antitrust enforcers must now undertake a difficult battle to try to unwind it.<\/p>\n\n\n\n<p>\u201cThe FTC continues to believe this deal is a threat to competition,\u201d said FTC spokesperson Victoria Graham on Friday.<\/p>\n\n\n\n<p>Microsoft has long defended the deal as good for gaming, saying its goal was to get Activision games to more people on more platforms rather than trying to deprive those games from rival console-makers.<\/p>\n\n\n\n<p>\u201cWhether you play on Xbox, PlayStation, Nintendo, PC or mobile, you are welcome here \u2013 and will remain welcome, even if Xbox isn\u2019t where you play your favorite franchise,\u201d said a statement Friday from Phil Spencer, CEO of Microsoft\u2019s Xbox division.<\/p>\n\n\n\n<p>He shared a video celebrating the merger, featuring scenes from games to the tune of \u201cOh, What A Beautiful Mornin\u2019\u201d from the Broadway musical \u201cOklahoma!\u201d<\/p>\n\n\n\n<p>The blessing from the U.K.&#8217;s Competition and Markets Authority was expected after it&nbsp;<a href=\"https:\/\/apnews.com\/article\/microsoft-activision-deal-uk-regulator-2a6d87ca444e566035e99714944a8fa5\" target=\"_blank\" rel=\"noreferrer noopener\">gave preliminary approval<\/a>&nbsp;last month to a revamped Microsoft proposal meant to address concerns that the deal would harm competition and hurt gamers, especially in the emerging cloud gaming market where players can avoid buying pricey consoles and stream games to their tablets or phones.<\/p>\n\n\n\n<p>\u201cThe new deal will stop Microsoft from locking up competition in cloud gaming as this market takes off, preserving competitive prices and services for U.K. cloud gaming customers,\u201d the watchdog said.<\/p>\n\n\n\n<p>However, it also tilts the \u201cbalance of power significantly\u201d in favor of Microsoft, whose Xbox console has lagged behind PlayStation and Nintendo, said George Jijiashvili, senior principal analyst at tech research and advisory firm Omdia.<\/p>\n\n\n\n<p>Microsoft \u201cnow has a big opportunity to dictate the future of the games industry,\u201d he said.<\/p>\n\n\n\n<p>Since the deal was announced in January 2022, Microsoft has secured approvals from antitrust authorities covering more than 40 countries. Crucially, it got a&nbsp;<a href=\"https:\/\/apnews.com\/article\/microsoft-activision-blizzard-merger-video-games-36e3a8ee61473c65b6846314966d44b3\" target=\"_blank\" rel=\"noreferrer noopener\">thumbs-up from the 27-nation European Union<\/a>&nbsp;after agreeing to allow users and cloud gaming platforms to stream its titles without paying royalties for 10 years.<\/p>\n\n\n\n<p>The deal faced its strongest resistance from British and\u00a0<a rel=\"noreferrer noopener\" href=\"https:\/\/apnews.com\/article\/microsoft-activision-blizzard-xbox-playstation-satya-nadella-d196c5803b0b661849b60613c93b4af4\" target=\"_blank\">American regulators<\/a>. Sony also feared it would limit PlayStation gamers\u2019 access to Call of Duty, Activision\u2019s long-running military shooter series.<\/p>\n\n\n\n<p>The FTC over the summer\u00a0<a rel=\"noreferrer noopener\" href=\"https:\/\/apnews.com\/article\/microsoft-activision-xbox-playstation-call-of-duty-2322c62e67e6c1316b3ce043e66cff62\" target=\"_blank\">lost a court bid<\/a>\u00a0to pause the deal so that its in-house judge could review it. The FTC hasn\u2019t given up, appealing the decision and last month filing notice of its plan to resume that trial.<\/p>\n\n\n\n<p>To get the U.K.\u2019s approval, Microsoft will sell off European cloud streaming rights for all current and new Activision games released over the next 15 years to French game studio Ubisoft Entertainment.<\/p>\n\n\n\n<p>But the regulator still criticized how the agreement came together and warned other companies not to use Microsoft\u2019s tactics to \u201cinsist on a package of measures that we told them simply wouldn\u2019t work.\u201d<\/p>\n\n\n\n<p>The U.K. regulator \u201cdeserves credit for imposing a structural remedy on Microsoft that is significantly stronger than the weak commitments accepted by the European Commission,\u201d said Max von Thun, director of the Europe office of the Open Markets Institute, a proponent of stronger antitrust enforcement.<\/p>\n\n\n\n<p>But the flip-flopping makes the U.K. regulator look \u201cweak and indecisive,\u201d he said.<\/p>\n\n\n\n<p>Up until now, computer-maker Dell held the record for the priciest tech deal after it bought data-storage company EMC in 2016 for around $60 billion. Microsoft\u2019s own biggest deal was its $26 billion acquisition of professional-networking service LinkedIn around the same time.<\/p>\n\n\n\n<p>Microsoft valued the Activision deal at $68.7 billion when it was first announced, \u201cinclusive of Activision Blizzard\u2019s net cash,\u201d though Microsoft agreed to pay $95 in cash for each share of the game-maker, closer to $75 billion.<\/p>\n\n\n\n<p>Started in 1979 by former Atari Inc. employees, Activision has created or acquired many of the most popular video games, from Pitfall in the 1980s to Guitar Hero and the World of Warcraft franchise. One of Activision\u2019s key assets for Microsoft was its King studio, maker of popular mobile games such as Candy Crush Saga.<\/p>\n\n\n\n<p>Bobby Kotick has been CEO since 1991, after working with a business partner to buy it from bankruptcy.<\/p>\n\n\n\n<p>Kotick signaled his coming departure Friday, saying he is \u201cfully committed to helping with the transition\u201d through the end of 2023 and will, until then, remain as CEO of what\u2019s now a Microsoft subsidiary.<\/p>\n\n\n\n<p>\u201cCombining with Microsoft will bring new resources and new opportunities to our extraordinary teams worldwide,\u201d Kotick wrote in a letter to employees.<\/p>\n\n\n\n<p>He is now reporting to Spencer, who has led Microsoft\u2019s Xbox division since 2014.<\/p>\n\n\n\n<p>While Sony\u2019s PlayStation remains the industry leader, Microsoft in recent years has been scooping up game studios in an effort to drive more gamers to Xbox. Last year, it spent $7.5 billion to acquire ZeniMax Media, the parent company of video game publisher Bethesda Softworks, maker of Elder Scrolls, Fallout and&nbsp;<a href=\"https:\/\/apnews.com\/article\/xbox-starfield-gaming-consoles-nintendo-playstation-33e2de63fa94fb6e20c9585433c9fac5\" target=\"_blank\" rel=\"noreferrer noopener\">the recently-released Starfield<\/a>.
